1.- Acceptance of Terms

By accessing and using the Routek.express website (the "Site") and any services offered through the Site (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Site or Services.

2. Use of the Site and Services

Eligibility: You must be at least 18 years old to use the Site and Services. By using the Site and Services, you represent and warrant that you are at least 18 years old.
Permitted Use: You may use the Site and Services only for lawful purposes and in accordance with these Terms.
Prohibited Use: You agree not to use the Site or Services:
- In any way that violates any applicable law or regulation.
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
- To impersonate or attempt to impersonate Routek.express, a Routek.express employee, another user, or any other person or entity.
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site or Services, or which, as determined by Routek.express, may harm Routek.express or users of the Site or Services.
- To attempt to gain unauthorized access to any portion of the Site or Services, or any other systems or networks connected to the Site or Services.
- To introduce viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

3. Intellectual Property

Ownership: The Site and Services, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Routek.express, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Limited License: You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and Services for your personal or internal business use.
Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
- Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
- You may store files that are automatically cached by your Web browser for display enhancement purposes.
- You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

4. Optimus (If Applicable)

If these terms apply to the Optimus SaaS solution the following must be present:
Subscription: Use of the Optimus platform will require a subscription. Subscription terms, features and prices are described in the applicable Sales Order Form and agreed upon between Routek and the customer.
Account Security: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.
Data Ownership: You retain ownership of your data uploaded to the optimus platform. We only retain the right to use the data to provide service.

5. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ROUTEK.EXPRESS DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROUTEK.EXPRESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE OR SERVICES; (C) ANY CONTENT OBTAINED FROM THE SITE OR SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

7. Indemnification

You agree to defend, indemnify, and hold harmless Routek.express, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or Services, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [State/Jurisdiction], without regard to its conflict of law provisions.

9. Changes to Terms

Routek.express reserves the right to modify or revise these Terms at any time. Your continued use of the Site and Services following the posting of any changes to these Terms constitutes acceptance of those changes.
